Draft for discussion. Not an executed agreement or payment authorization.
The provider has approved the payment structure below. The final client agreement, cancellation and refund policy, and other contract terms still require approval and qualified legal review. This page does not collect signatures, bind your institution, issue an invoice, or authorize any charge. Version 2026-10-28-draft-2.
What the final agreement needs to cover
01 · Parties and authorized contacts
The final agreement identifies the provider's legal entity, client legal entity, authorized signatories, project lead, billing contact, and purchase-order requirements. A visitor's package request does not bind an institution.
02 · Scope and deliverables
The signed scope identifies the selected package, source materials, assignment or lesson count, learning outcomes, output formats, accessibility requirements, review meetings, revision rounds, and items excluded from the fee. Starting-price packages require a final quote and signed scope before collecting payment.
03 · Schedule and client responsibilities
Delivery dates and workshop dates are confirmed in writing. The client supplies materials it has permission to share, institutional requirements, and timely subject-matter review. Both parties agree how delayed inputs affect the schedule before changes are made.
04 · Fees, milestones, and invoices
The provider-approved structure for this package is as follows. 50% at signing, 25% at draft delivery, and 25% at final handoff, through separate milestone invoices. Your final written scope and agreement, including cancellation and refund terms, must be approved before service payment is collected. No automatic recurring charges. Displaying this structure does not issue an invoice, create a signed agreement, or authorize a charge. The final agreement specifies the agreed total fee, applicable taxes, expenses, invoice due dates, and milestones.
05 · Review and changes
Included reviews and revisions follow the selected package. The final agreement defines the review window and acceptance process. Additional assignments, revisions, meetings, or LMS work require a written change request with an agreed price and schedule before work proceeds.
06 · Academic and professional review
Ethical AI Solutions develops instructional and implementation materials within scope. The client retains responsibility for academic standards, discipline-specific accuracy, curriculum approval, institutional policy, accreditation decisions, and suitability for its learners.
07 · Intellectual property and use
The final agreement must specify ownership or license of custom deliverables, editable source files, permitted internal reuse, third-party materials, and provider pre-existing templates. No ownership transfer or unrestricted redistribution license is implied by this draft.
08 · Privacy, confidentiality, and AI boundaries
Both parties must agree permitted data, approved tools, handling requirements, confidentiality terms, and retention/deletion arrangements. Do not send identifiable student records or confidential data through website forms. Any student-facing AI use must follow age, privacy, district, and institutional rules.
09 · Accessibility and delivery formats
The scope records accessibility and accommodation requirements and the deliverable formats. The supplied service sheets exclude accessibility remediation and LMS buildout unless separately quoted. No unspecified accessibility audit or legal certification is included.
10 · Cancellation, rescheduling, and termination
Cancellation notice, workshop rescheduling, refunds, treatment of completed work, unused funds, and termination rights must be approved and written into the final agreement before service payment. These terms are not established by this page.
11 · Risk, disputes, and legal review
Any warranties, liability limits, insurance requirements, dispute process, and governing law must be reviewed and agreed by authorized parties. This draft does not guarantee learning, employment, funding, compliance, accreditation, or business results. Seek qualified legal review before using it as a contract.
12 · Approval and commencement
Work begins only after the final scope, approved agreement, scheduling, and required payment or procurement authorization are confirmed. Provider approval of a payment structure, website requests, and this draft download do not create a signed client agreement.
